Terms of service

DRAFT · 2026-10-20-draft · Not effective. Owner and qualified counsel review required before publication or customer signature.

Parties and scope

The provider is [legal entity, registered address and notice contact to be confirmed], operating the Vozanto software. The customer is the moving company identified in an executed order form. The person accepting must have authority to act for that company. This draft describes a business service for Massachusetts moving companies. Any effective date, fees, pilot duration, users, trucks and implementation services must appear in the signed order form.

Vozanto provides software for customer records, estimates, scheduling, crew workflows and operational records. The customer remains the mover and is responsible for its licenses, tariffs, transportation agreements, employment obligations, communications permissions and accuracy of its records. Software output does not replace the customer's review or professional advice. Only capabilities listed and verified in the order form form part of the pilot scope.

Accounts and acceptable use

The customer chooses authorized users, protects credentials, reviews access and removes departing users. Do not upload unlawful content, attempt unauthorized access, interfere with other customers, or test security without written authorization. Do not enter full payment card numbers, security codes or unneeded sensitive identity information in notes, imports or attachments. Contact the agreed operator before importing regulated or unusually sensitive information.

The customer retains rights in its data and authorizes the provider to process it to deliver and support the service under the DPA. The provider retains rights in the software and grants access during the agreed subscription. The order form must identify third-party services, charges and any separately accepted terms.

Fees, support and changes

The signed pilot order sets the price, invoice schedule, taxes, payment method, due dates and any approved expenses. No automatic card charge or renewal is authorized by this draft. The operator must agree renewal in writing before the pilot ends.

Payments through Stripe

This section applies when the customer takes its own customers' payments through Vozanto.

Payment processing services for moving companies on Vozanto are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these terms or continuing to operate as a moving company on Vozanto, the customer agrees to be bound by the Stripe Services Agreement, as the same might be modified by Stripe from time to time. As a condition of Vozanto enabling payment processing services through Stripe, the customer agrees to provide Vozanto accurate and complete information about itself and its business, and authorizes Vozanto to share it and transaction information related to its use of the payment processing services provided by Stripe.

Stripe opens a connected account in the customer's name, verifies its owners and pays it out. The platform's fee on each payment is 3.5% of the amount charged, kept from the payment before Stripe pays it out. The customer answers for its refunds, its disputed charges and any negative balance on its connected account, and the operator may recover from the customer what Stripe recovers from the operator for them.

Card and bank numbers are typed into Stripe's own forms; the provider's servers never receive them. The operator files the information returns the law requires for payments made to the customer through its connected account (Form 1099-K). The customer gives the operator its legal name, taxpayer identification number and address for that purpose on Form W-9 before its first payout.

Support contact, working hours and response targets remain [to be confirmed in the order]. Before signature, reconcile the existing incident policy's seasonal on-call coverage, 15-minute/one-hour notifications, half-hour updates, service credits and backup promises with demonstrated operating capability. This draft does not establish a new uptime guarantee, response deadline or credit. The final order must state which incident policy revision applies and resolve any conflicting public statement.

The provider will describe material changes and their effective date before requiring acceptance of a new contract version. Preserve the versions associated with existing acceptance records. Decide notice periods with counsel before publication.

Suspension, cancellation and data return

The final order must define cancellation notice, refunds, suspension grounds and a reasonable process to resolve nonpayment or misuse. Proposed pilot approach: permit cancellation by written notice, stop new work on the agreed end date, and agree the final invoice and a supervised export window before disabling access. The pilot package contains proposed commercial figures for owner review.

A trial ending currently marks the company as lapsed; it does not automatically erase company data. Available export and deletion tools have limited scope, described in the privacy notice. An operator must inventory attachments, integrations, logs and backups when preparing a complete data return or company closure. Retention required by law or a documented hold may continue; the provider must identify retained categories and the reason. Counsel and the operator must approve deletion deadlines and backup handling before any binding promise.

Risk allocation and disputes: unresolved provisions

Counsel must draft and approve warranties, remedies, service exclusions, liability caps and exceptions, indemnities, insurance, governing law, venue, notice mechanics, assignment and contract precedence. Do not infer these terms from the software, signup checkbox or this review draft. No clause in this draft limits rights that applicable law does not permit the parties to waive.

Acceptance

On an explicitly enabled development site, the signup checkbox records agreement to review versions of these terms and the DPA and acknowledgment of the privacy notice and subprocessor inventory. That record is test evidence, not production contract approval. Production signup stays closed while the catalog is Draft. A published version requires owner and counsel approval, complete party details and operational sign-off.
